These Terms of Use (“Terms”) are an agreement between you and Whatnow Media Group Inc. (“Whatnow,” “we,” “us,” or “our”). They govern your access to and use of whatnow.com and its city editions, our newsletters, and any other websites, content and services we offer that link to these Terms (together, the “Services”).
By accessing or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.
Whatnow Media Group’s business programs, such as the Preferred Partner Program, events, sponsorships and data products, are governed by separate agreements. If a separate agreement conflicts with these Terms, the separate agreement controls for that program.
1. Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement of a parent or guardian who agrees to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms.
2. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated Terms on this page and revise the “Last updated” date above. If the changes are material, we will provide additional notice, such as a notice on the Site. Changes take effect when posted, and your continued use of the Services after that means you accept the updated Terms. Changes will not apply to any dispute that arose before the changes were posted.
3. Our Content and Intellectual Property
The Services and their content, including articles, headlines, photographs, graphics, data, logos, and the design, selection and arrangement of the Services, are owned by Whatnow or its licensors and are protected by copyright, trademark and other intellectual property laws.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable license to access and view the Services for your own non-commercial use. You may share links to our articles and quote brief excerpts with attribution to Whatnow and a link to the original article. Any other use, including reproducing, republishing, distributing, selling, licensing or creating derivative works from our content, requires our prior written permission. For reprint, syndication and licensing requests, email info@whatnowmediagroup.com.
“Whatnow,” “What Now,” the Whatnow logo and related names and logos are trademarks of Whatnow Media Group Inc. Other trademarks that appear on the Services belong to their respective owners. See our Copyright Notice for more information.
4. Acceptable Use
You agree not to:
- Copy, republish, redistribute or commercially exploit our content except as permitted by these Terms
- Use any robot, spider, scraper or other automated means to access the Services or to collect content or data from them, including to build databases or lead lists or to train, fine-tune or ground artificial intelligence or machine learning systems, except for search engines that index the Services in compliance with our robots.txt file
- Frame or mirror the Services, or remove, obscure or alter any copyright, trademark or other notices
- Circumvent, disable or interfere with security features, access controls or advertising on the Services
- Interfere with or disrupt the Services, introduce malware, or probe, scan or test the vulnerability of our systems without our written authorization
- Impersonate any person or organization, or misrepresent your affiliation with any person or organization
- Use information from the Services to send unsolicited commercial messages in violation of applicable anti-spam laws, including the CAN-SPAM Act and Canada’s Anti-Spam Legislation (CASL)
- Use the Services for any unlawful, fraudulent, harassing or abusive purpose, or in violation of the rights of others
5. Copyright Complaints
We respect the intellectual property rights of others and expect you to do the same. If you believe that material on the Services infringes your copyright, please follow the procedure in our DMCA Notice. In appropriate circumstances, we will terminate the access of users who repeatedly infringe the rights of others.
6. News Tips, Submissions and Feedback
When you send us news tips, press releases, photos, comments, corrections, ideas or other material (“Submissions”), you represent that you have the right to share them and that they do not violate any law or the rights of any third party, including privacy, publicity and intellectual property rights.
You keep any ownership you have in your Submissions. You grant Whatnow a non-exclusive, worldwide, royalty-free, perpetual, irrevocable and sublicensable license to use, reproduce, edit, adapt, publish, translate, distribute and display your Submissions, in whole or in part, in any media now known or later developed, in connection with the Services and our business, with or without attribution at our editorial discretion. To the extent permitted by law, you waive any moral rights you may have in your Submissions.
We are not obligated to publish, use or respond to any Submission, and all editorial decisions remain solely ours. We may edit Submissions for length, clarity, style and accuracy. Unsolicited ideas and feedback are not confidential, and we may use them without any obligation or compensation to you. If you wish to remain anonymous as a source, please tell us before you share information; we will consider your request in line with our Ethics Policy, but we cannot guarantee anonymity where disclosure is required by law.
7. Newsletters and Communications
When you subscribe to a Whatnow newsletter, you agree to receive the newsletters you select and, if you opt in, related communications such as event invitations and information about our partner programs. Frequency varies. You can unsubscribe at any time using the link in any email or by emailing info@whatnowmediagroup.com; we act on unsubscribe requests within 10 business days. We may still send you non-promotional messages about a transaction or request you have made. You agree that notices and communications we send electronically satisfy any legal requirement that they be in writing. Our Privacy Policy explains how we handle subscriber information.
8. Advertising, Sponsored and Partner Content
The Services display advertising, including advertising served by CMI Marketing, Inc., d/b/a Raptive and its partners. Advertisers are solely responsible for their advertisements and for the products and services they offer, and any dealings between you and an advertiser are solely between you and that advertiser.
Some content on the Services is produced with, or paid for by, a sponsor or business partner. We label this content clearly, for example as “Sponsored,” “Partner Content” or “Presented by,” and keep it separate from our independent reporting, as described in our Ethics Policy. Participation in Whatnow Media Group’s business programs, including the Preferred Partner Program, does not give any business control over our news coverage. Some links on the Services may be affiliate links, which means we may earn a commission if you make a purchase; where they appear, we disclose them.
9. Third-Party Links and Services
The Services may link to, embed, or rely on websites, content and services operated by third parties, such as maps, social media posts, search and video players. We do not control and are not responsible for third-party websites, content or services, and a link does not imply our endorsement. Your use of any third-party website or service is at your own risk and subject to that third party’s terms and policies.
10. News Content; No Professional Advice
The content on the Services is provided for general news and informational purposes only. Our reports on planned openings, closings, leases, permits, developments and other business activity are based on public records, sources and other information available at the time of publication. Plans change, and we do not guarantee that any business will open or close, at any particular location, or on any particular date.
Nothing on the Services is legal, financial, investment, real estate, tax or other professional advice, and you should not rely on it as such. You are responsible for independently verifying information before making business or other decisions. If you believe something we published is inaccurate, email contact@whatnow.com with a link to the article; we correct errors as described in our Ethics Policy.
11. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS OR TIMELINESS. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT THEY ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WHATNOW, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRIBUTORS, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR YOUR USE OF OR RELIANCE ON ANY CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 AND (B) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, such as liability for gross negligence, intentional misconduct, or death or personal injury caused by negligence.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless Whatnow, its affiliates, and their respective officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or relating to your Submissions, your violation of these Terms, or your violation of any law or the rights of any third party. We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.
14. Suspension and Termination
We may suspend or terminate your access to all or part of the Services at any time, with or without notice, including if we believe you have violated these Terms. We may also modify or discontinue any part of the Services at any time. Sections 3 and 5 through 16, and any other provisions that by their nature should survive, survive any termination of these Terms.
15. Governing Law and Dispute Resolution
Governing law. These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-law rules, and, where applicable, the federal laws of the United States.
Informal resolution. Before filing a claim, you agree to contact us at info@whatnowmediagroup.com with a description of the dispute and the relief you seek, and to try in good faith to resolve it with us informally for at least 60 days.
Courts. If a dispute is not resolved informally, it must be brought exclusively in the state or federal courts located in Fulton County, Georgia, United States, where our principal office is located, and you and Whatnow consent to the personal jurisdiction of those courts. Either party may instead bring an individual claim in a small claims court with jurisdiction, and Whatnow may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.
Time limit. To the extent permitted by law, any claim arising out of or relating to these Terms or the Services must be filed within one year after the claim arose; otherwise, it is permanently barred.
Consumer rights. Nothing in these Terms deprives you of the protection of mandatory consumer protection laws of the country, state or province where you live, including any right to bring proceedings in the courts of your place of residence where those laws provide it.
16. General
These Terms, together with our Privacy Policy and the other policies referenced in them, are the entire agreement between you and Whatnow regarding the Services and supersede any prior agreements on that subject. If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign or transfer these Terms without our prior written consent; we may assign them without restriction. We are not liable for any delay or failure to perform caused by events beyond our reasonable control. There are no third-party beneficiaries of these Terms. Section headings are for convenience only.
